Terms of Service

1. What Thosedays is

Thosedays is an alumni networking service. Organizations (alumni associations, IAESTE chapters, school classes) create spaces to gather their alumni and stay in touch.

2. Four binding commitments — what Thosedays will never do

The following are contractual commitments, not policy aspirations. No carve-out for affiliates, partners, service providers, successors, or analytics processors permits Thosedays to do any of the following:

  1. We will not sell member data. No sale, rental, or licensing of member data — in any form, to any party, for any kind of consideration.
  2. We will not share member data with advertisers or data brokers. We do not build, sell, or transfer audience segments, look-alike audiences, or ad-targeting lists derived from your alumni network.
  3. We will not use member contact details to target ads — on Thosedays or anywhere else.
  4. We will not claim ownership of a space's member list. The member list of a space belongs to the space and its admins. Admins can export it at any time from Admin → Members → Export.

Any future change that would soften any of these four commitments is a material change and requires CEO sign-off before scoping.

3. Your account

  • You must provide accurate information when creating your account.
  • You are responsible for all activity under your account.
  • One account per person.
  • You must be at least 13 years old.

4. Data ownership

  • Members own their profiles. You can edit, export, or delete your profile at any time from Settings → Privacy.
  • Space admins own their space's member list. Thosedays does not acquire any ownership rights over member data, profile content, or photos uploaded to spaces.
  • Thosedays stores data on your behalf to operate the service. Storage is not a claim of ownership.

5. Acceptable use

You agree not to:

  • Send messages to members who have not opted in to the relevant contact category.
  • Scrape or bulk-collect member data outside the export tools provided to space admins for their own space.
  • Impersonate another member.
  • Upload content you do not have the right to share.
  • Use Thosedays to harass, harm, or deceive other members.

Thosedays may suspend or terminate accounts that violate these terms.

6. Member messaging and consent

  • Member-to-member outreach respects each member's contact-category opt-ins.
  • Admin announcements always include a one-click unsubscribe.
  • Thosedays does not send messages on behalf of advertisers or third parties.

7. Paid features and billing

  • Each space receives a free monthly email-credit allowance.
  • Space admins may purchase additional email credits.
  • Purchased credits are non-refundable except where required by applicable law.
  • Billing details are described at /legal/billing.

8. Content

  • You retain ownership of content you upload (photos, text, profile data).
  • You grant Thosedays a limited licence to store and display that content to authorised viewers as needed to operate the service.
  • Event photos are visible only to members who RSVP'd yes to that event. This is enforced server-side.
  • Thosedays does not licence your content to third parties.

9. Disclaimers and limitation of liability

  • Thosedays is provided as-is. We aim for high availability but cannot guarantee uninterrupted service.
  • To the extent permitted by applicable law, our total liability to any admin or member is limited to the amount paid by that admin to Thosedays in the prior 12 months.

10. Changes to these Terms

Changes to Section 2 (the four binding commitments) are material changes. We will:

  1. Update the effective date and add a changelog entry.
  2. Notify space admins at least 30 days before the change takes effect.
  3. Never apply a softened commitment retroactively to data already collected under the prior version.

Non-material clarifications are recorded in the changelog without a notice period.

11. Governing law

11.0 Provider information (contracting party)

The provider of the service and contracting party under these Terms is:

(Thosedays is the product name under which the service is offered. The contracting legal entity is the Einzelunternehmen identified above.)

11.1 Governing law

These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by and construed in accordance with the laws of the Republic of Austria, excluding its conflict-of-laws rules and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

11.2 Venue — non-consumer users

For disputes with users acting in a commercial, business, or professional capacity, the competent courts for the registered place of business (Gewerbestandort) of Ing. Philipp Zöchner (Einzelunternehmer), located at Sackstrasse 26, 8010 Graz, Austria, have exclusive jurisdiction.

11.3 Mandatory consumer-protection law — preserved

Nothing in §11.1 or §11.2 limits, waives, or overrides any mandatory consumer-protection provisions of the law of the country in which the user is habitually resident, where the user qualifies as a consumer under that law. In particular:

  • Consumers domiciled in the European Union retain the forum rights granted by Articles 17–19 of Regulation (EU) No 1215/2012 (Brussels I-bis), including the right to bring proceedings in the courts of their own domicile and to be sued only in those courts.
  • Consumers domiciled in Austria additionally retain the protections of §14 of the Austrian Consumer Protection Act (Konsumentenschutzgesetz, KSchG), including the home-forum rule for consumer contracts.
  • Equivalent mandatory consumer-forum and consumer-protection rules under German, Swiss, and other applicable national laws are preserved and override §11.1 and §11.2 to the extent of any conflict.
  • Under Article 6(2) of Regulation (EC) No 593/2008 (Rome I), the choice of Austrian law in §11.1 does not deprive a consumer of the protection afforded by mandatory provisions of the law of the country in which the consumer is habitually resident.

11.4 Dispute resolution

Disputes are resolved before the competent courts as set out above. No arbitration clause applies to these Terms.

11.5 Severability of this section

If any part of §11 is held unenforceable in a given jurisdiction, the remaining parts continue to apply. A court of competent jurisdiction may substitute an enforceable provision that comes closest to the original commercial intent, provided the substitution does not soften any of the four binding commitments in §2.
